Terms of Use

1. Introduction & Acceptance of Terms

These Terms of Use (“Terms”) form a binding agreement between you and Slydap (“Slydap,” “we,” “us,” or “our”) governing your access to and use of the Slydap website, mobile experience, and related services (together, the “Service”).

By creating an account, or by otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not create an account and do not use the Service.

We may update these Terms from time to time as described in Section 16. Your continued use of the Service after an update takes effect constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 15 years old to create an account or use the Service. By registering, you represent and warrant that you meet this age requirement and that all information you provide during signup (including your date of birth) is accurate.

You may not use the Service if you are barred from doing so under the laws of Ghana or any other jurisdiction applicable to you, or if we have previously suspended or terminated your account for a violation of these Terms.

3. Your Account

• You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account.
• You agree to notify us promptly at [email protected] if you suspect any unauthorized use of your account.
• You may create and maintain only one personal account, unless we expressly authorize otherwise (for example, a dedicated Page for a business or public figure).
• You agree to provide accurate registration information and to keep it up to date.
• We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

4. Description of the Service

Slydap is a social platform that, depending on which features are enabled for your account or region, may let you: create a profile; publish posts, photos, videos, and comments; follow and message other members; join or create Groups; create and manage Pages; watch and share short-form video content; participate in a live public Shoutbox; ask and answer Questions; send and receive Gifts (see Section 8); and view advertising (see Section 9).

We may add, change, suspend, or remove any feature of the Service at any time, with or without notice, as described in Section 16.

5. Your Content

Ownership. You retain all ownership rights in the posts, comments, messages, photos, videos, and other material you submit to the Service (“Your Content”). We do not claim ownership of Your Content.

License to Slydap. By submitting Your Content, you grant Slydap a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, adapt, publish, and display Your Content solely in connection with operating, promoting, and improving the Service (for example, showing your post in a friend’s feed, generating a thumbnail, or displaying a preview when your content is shared). This license ends when you delete Your Content or your account, except where Your Content has been shared with, saved, or re-shared by other users, or where retention is required by law or by Section 15.

Your responsibility. You are solely responsible for Your Content and the consequences of posting it. You represent and warrant that you own or have the necessary rights and permissions to post Your Content, and that it does not violate these Terms, any applicable law, or the rights of any third party (including intellectual property, privacy, and publicity rights).

No obligation to monitor. We do not pre-screen content and have no obligation to do so, but we may review, remove, or restrict access to any content at our discretion as described in Section 7.

6. Prohibited Conduct

You agree not to, and not to assist or permit others to:

• Post content that is unlawful, defamatory, obscene, hateful, harassing, threatening, or that exploits or endangers minors;
• Infringe any patent, trademark, trade secret, copyright, or other intellectual property or proprietary right of any party;
• Impersonate any person or entity, or misrepresent your affiliation with a person or entity;
• Upload viruses, malware, or other code designed to disrupt, damage, or limit the functioning of the Service;
• Scrape, crawl, or use automated means to access the Service or collect user data without our prior written consent;
• Circumvent, disable, or otherwise interfere with security-related features of the Service, or with rate limits and access controls;
• Use the Service to send unsolicited bulk messages, spam, or engage in phishing or fraud;
• Buy, sell, rent, or otherwise transfer your account or username without our consent;
• Use the Service for any purpose that is illegal under applicable law.

7. Content Moderation & Enforcement

We reserve the right, but are not obligated, to remove, restrict, or disable access to any content, and to suspend or terminate any account, at any time and at our sole discretion, with or without notice, including where we believe content or conduct violates these Terms, applicable law, or the rights of a third party.

Copyright complaints. If you believe content on the Service infringes your copyright, send a written notice to [email protected] identifying the copyrighted work, the allegedly infringing material and its location on the Service, and your contact information. We may remove or disable access to reported material and may terminate the accounts of repeat infringers.

8. Payments, Gifts & Payouts

Slydap may allow members aged 18 and over to send “Gifts” (named items such as a Rose or a Kente Crown) on another member’s posts, videos or profile, at prices set by us in Ghanaian Cedis (GHS) from time to time. Each Gift is paid for when it is sent; Slydap does not hold a balance for the sender. Slydap retains a platform service fee from each Gift and credits the remainder to the recipient, in each case at the rate displayed at the time of the transaction. A Gift and its message are shown publicly on the content it was sent on unless the sender chooses to send it anonymously, in which case the sender’s name is not shown to anyone, including the recipient.

• Gifts are voluntary and non-refundable once processed, except where required by applicable law or at our discretion.
• Payment processing is handled by third-party payment providers. We are not responsible for delays, failures, or errors caused by those providers, your bank, or your mobile money operator.
• Recipients may ask for their available earnings to be paid to a mobile money wallet in their own name once the amount displayed as the minimum is reached and a holding period has passed. Payouts are reviewed and sent by us, and may be delayed or declined where we reasonably suspect fraud, chargebacks or a breach of these Terms.
• We do not guarantee that any member will receive Gifts, and we make no representation about potential earnings from the Service.
• Recipients are solely responsible for determining and paying any taxes owed on amounts received through the Service.
• We may withhold, reverse, or decline to process any transaction we reasonably believe is fraudulent, abusive, made in error, or in violation of these Terms, and may suspend payout functionality on an account under investigation.

9. Advertising

The Service may display advertisements and sponsored content from Slydap and third parties. We do not endorse and are not responsible for the content, accuracy, or claims made in any advertisement. Any transaction or interaction you have with an advertiser found through the Service is solely between you and that advertiser, and we are not a party to it and bear no liability for it.

10. Third-Party Links & Services

The Service may contain links to third-party websites, applications, or services that are not owned or controlled by Slydap. We have no control over, and assume no responsibility for, the content, privacy practices, or terms of any third-party site or service. You access them entirely at your own risk.

11. Our Intellectual Property

The Service, including its look and feel, features, graphics, logos, and the “Slydap” name and marks, is owned by Slydap and is protected by intellectual property laws. Except for the limited right to use the Service as permitted by these Terms, no right, title, or interest in the Service is transferred to you.

12. Privacy

Our collection and use of personal information in connection with the Service is described in our Privacy Policy. By using the Service, you consent to the collection and use of information as described there.

13. Disclaimer of Warranties

The service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Slydap does not warrant that the service will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the service or the servers that make it available are free of viruses or other harmful components. Slydap does not warrant or guarantee the accuracy, completeness, or reliability of any content on the service, including content posted by other users.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the exclusions above may not apply to you.

14. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will Slydap, its officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your access to or use of, or inability to access or use, the service, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not slydap has been advised of the possibility of such damages.

To the fullest extent permitted by applicable law, slydap’s total aggregate liability to you for all claims arising out of or relating to the service will not exceed the greater of (a) the total amount, if any, paid by you to slydap in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred ghanaian cedis (ghs 100).

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the limitations above may not apply to you. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

15. Indemnification

You agree to defend, indemnify, and hold harmless Slydap and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) Your Content; (b) your use of or conduct on the Service; (c) your violation of these Terms; or (d) your violation of any right of a third party.

16. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, including a violation of these Terms, with or without notice.

Suspensions and bans. A suspension lasts for the time we tell you (or until we lift it); while it lasts you can sign in and look around but not post, comment, react, share, message or add friends, and you can appeal at any time. A ban ends your access for good; you can appeal it once, within 30 days. When that time has passed (or your appeal has been decided), the ban is final, and 90 days after the ban your account and content are deleted as described in our account deletion page, except for records we must keep. Until then you can ask for a copy of your data from your appeal page.

Money when an account is suspended or banned. Your running ads are paused, and keep their paid days, while your account is suspended. If your account is banned and the ban is final, or a suspension with no end date has lasted 30 days, we refund the unused days of your paid ads, unless the ban was for fraud or a scam. Gift earnings of a banned account are held until the ban is final and then paid out to you; if the ban was for fraud or a scam, the gifts are instead refunded to the people who sent them.

Upon termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination — including Ownership/License, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Dispute Resolution — will survive.

17. Modifications to the Service and These Terms

We may modify, suspend, or discontinue the Service, or any part of it, at any time without liability to you. We may also revise these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and, where appropriate, provide additional notice (such as an in-app notification). Your continued use of the Service after a revised version takes effect constitutes your acceptance of it.

18. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Ghana, without regard to its conflict-of-laws principles.

Before filing a claim, you agree to first contact us at [email protected] so we can attempt to resolve the dispute informally. If a dispute cannot be resolved informally within thirty (30) days, it will be subject to the exclusive jurisdiction of the courts of the Republic of Ghana, and you consent to personal jurisdiction and venue there.

19. General Terms

Severability. If any provision of these Terms is held unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Entire agreement. These Terms, together with our Privacy Policy and any other terms referenced here, constitute the entire agreement between you and Slydap regarding the Service and supersede any prior agreements.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
